We know - legal text isn't fun. But it's standard stuff: you buy a license, you use the software, your data stays on your device. The details are below.

Acceptance
By downloading, installing, or using ParrotScribe (“Software”), you agree to be bound by the terms of this Agreement. If you do not agree, do not download, install, or use the Software.
Age Requirement
You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher, to use this Software.
License Grant
Subject to the terms of this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for personal or commercial purposes.
This license is personal to you and may not be shared, transferred, or assigned to any other person or entity.
Trial Use
You may use the Software for evaluation purposes during the trial period specified at the time of download. When the trial period ends, you must either purchase a license or stop using the Software.
Paid License
Upon purchasing a license, you may activate the Software on the number of devices specified by your license tier. Devices must be under your primary control. This includes devices you own personally, devices owned by members of your household, and devices provided to you for your exclusive use, such as a work computer assigned to you. If a device is owned by your employer or another organization, you are responsible for obtaining any required permissions from that organization before installing or using the Software. You may deactivate and reactivate devices as needed through the Software's license management interface. The license is personal and non-transferable to individuals outside your household.
Activation
The Software requires activation via an Internet connection to the Licensor's servers. The Licensor may verify your license status periodically. You may not circumvent, disable, or tamper with the activation mechanism.
Online Validation
The Software requires periodic online validation. If validation cannot be completed, functionality may be suspended until validation succeeds.
Telemetry
The Software collects anonymous usage data including device model, operating system version, and application version. This data contains no personally identifiable information.
Restrictions
You may not:
- Distribute, sell, resell, lease, rent, or sublicense the Software
- Offer the Software, or any functionality of the Software, as a hosted or managed service, whether to third parties or internally within an organization
- Deploy the Software as a server, service, or automated system that processes audio from other devices, users, or sources, regardless of ownership
- Bundle the Software with other products or services
- Share your license credentials with others or allow others to use your license
- Use the Software to create a competing product or service
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software
- Reverse engineer, decompile, or disassemble the Software, except to the extent that applicable law expressly permits such activity notwithstanding this limitation
Use of Name
You may not use the name “ParrotScribe”, the name “Johan Thorén”, or any trademarks or logos of the Licensor to endorse or promote products or services without prior written permission from the Licensor.
User Content
Ownership
You retain all rights to any audio recordings, transcriptions, or other content you create using the Software (“User Content”). The Licensor claims no ownership or rights over your User Content.
Your Responsibility
You are solely responsible for your User Content and your use of the Software. This includes, but is not limited to:
- Recording Consent: Obtaining all necessary consents and permissions from individuals before recording them. Laws regarding recording consent vary by jurisdiction. It is your responsibility to understand and comply with the laws that apply to you.
- Copyright Compliance: Ensuring that your recordings and transcriptions do not infringe the intellectual property rights of others.
- Privacy Compliance: Complying with all applicable privacy and data protection laws, including but not limited to GDPR, HIPAA, and other regulations that may apply to your use of the Software.
- Confidentiality: Respecting any confidentiality obligations you may have regarding the content you record or transcribe.
- Accuracy Verification: Verifying the accuracy of any transcriptions before relying on them. Transcriptions are generated automatically and may contain errors.
The Licensor does not access, collect, store, or process your User Content. Your User Content is stored locally on your device in a location you can configure. If you use a storage location that syncs with cloud services (such as iCloud), your User Content may be transmitted to and stored by those services according to their terms and privacy policies. The Licensor is not responsible for any third-party cloud services you choose to use.
Disclaimer of Responsibility
The Software is a neutral tool that can be used for lawful or unlawful purposes. The Licensor has no control over, and assumes no responsibility for, how you use the Software. The Licensor is not responsible for any illegal, unauthorized, or improper use of the Software by you or any third party. Any use of the Software in violation of applicable laws is strictly prohibited and solely at your own risk.
Acknowledgment
By using the Software, you acknowledge that:
- You are solely responsible for determining whether your use of the Software complies with applicable laws in your jurisdiction
- The Licensor does not provide legal advice
- You have had the opportunity to seek independent legal counsel before using the Software
No Warranty
THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY TRANSCRIPTIONS WILL BE ACCURATE OR COMPLETE.
THE SOFTWARE IS NOT INTENDED FOR USE IN SITUATIONS WHERE ERRORS OR INACCURACIES COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE.
TRANSCRIPTIONS PRODUCED BY THE SOFTWARE SHOULD NOT BE RELIED UPON FOR LEGAL, MEDICAL, EVIDENTIARY, OR OTHER CRITICAL PURPOSES WITHOUT INDEPENDENT VERIFICATION.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE LICENSOR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE EXCEED THE AMOUNT YOU PAID TO THE LICENSOR FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE LICENSOR SHALL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, OR LIABILITY ARISING FROM YOUR USER CONTENT OR YOUR USE OF THE SOFTWARE IN VIOLATION OF APPLICABLE LAWS.
Indemnification
You agree to indemnify, defend, and hold harmless the Licensor from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Software
- Your User Content
- Your violation of this Agreement
- Your violation of any applicable law or regulation
- Your violation of any rights of any third party
Termination
Termination for Violation
If you violate any term of this Agreement, your license terminates immediately without notice.
Termination by Licensor
The Licensor may terminate this Agreement at any time with 30 days written notice. If termination is not due to your violation of this Agreement, you will receive a pro-rata refund of your license fee based on a one-year period from the date of purchase. No refund is provided after one year from purchase, or for termination due to your violation of this Agreement.
Effect of Termination
Upon termination, you must immediately cease all use of the Software and delete all copies in your possession or control. Refunds, if any, are provided solely as described in “Termination by Licensor” above.
The following sections survive termination: User Content, No Warranty, Limitation of Liability, Indemnification, Governing Law, Ethical Use, and General.
Updates
The Licensor may provide updates to the Software from time to time. Updates are subject to the license terms in effect at the time of the update. Continued use of the Software after an update constitutes acceptance of any revised terms.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles.
Any dispute you bring against the Licensor shall be resolved exclusively in the courts of Makati City, Metro Manila, Philippines. The Licensor may bring disputes against you in the courts of Makati City or in any court of competent jurisdiction where you reside or have assets.
Ethical Use
The Licensor is committed to ethical business practices. You agree not to use the Software in connection with any activity that involves human trafficking, forced labor, child labor, or any form of modern slavery. Any such use is a material breach of this Agreement and will result in immediate termination of your license.
General
Entire Agreement
This Agreement, together with any terms presented at the time of purchase or download (including pricing, trial duration, and device limits), constitutes the entire agreement between you and the Licensor regarding the Software and supersedes all prior agreements and understandings, whether written or oral.
Severability
If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
No Waiver
The failure of the Licensor to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
